Terms of Service

These Terms of Service ("Terms") govern your access to and use of the m3 platform, software, and services operated by Grow Your Center LLC ("we", "us", or "our").

1. Acceptance of Terms

By accessing, using, or enrolling in the m3 platform, software, or services (collectively, the "Platform" or "Services"), you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

2. Description of Services

m3 is a software-as-a-service (SaaS) platform providing AI-powered tools and platform-delivered digital marketing services. We may modify, update, suspend, or discontinue any part of the Platform at any time without liability.

3. Eligibility

You must:

  • Be at least eighteen (18) years of age
  • Have the legal capacity to enter into a binding contract

4. User Accounts

You agree to:

  • Provide accurate and complete information
  • Maintain account security
  • Be responsible for all activity under your account

5. Platform Services (No Peer-to-Peer Sales)

All services:

  • Are provided by m3
  • Are not offered between users
  • Are controlled and fulfilled by m3

Users are not independent sellers or vendors on the Platform.

6. No Agency or Partnership

Nothing in these Terms creates any partnership, employment, or agency relationship.

7. Payments, Fees, and Billing

  • Fees may apply (subscription and/or one-time)
  • Payments processed via third-party providers
  • Fees are non-refundable unless stated otherwise in writing

We may change pricing with notice. Non-payment may result in suspension.

8. User Content

You retain ownership of your content.

You grant m3 a worldwide, non-exclusive, royalty-free license to use your content to operate and improve services.

You represent that your content:

  • Is lawful
  • Does not infringe on third-party rights

9. AI-Generated Content Disclaimer

You acknowledge:

  • AI outputs may be inaccurate or incomplete
  • Outputs are for informational purposes only
  • You are responsible for verifying all outputs

10. Service Performance Disclaimer

We do not guarantee:

  • Leads, conversions, or revenue
  • Specific business outcomes

Results vary based on multiple external factors.

11. Prohibited Uses

You agree not to:

  • Violate laws
  • Upload harmful or infringing content
  • Misuse or disrupt the Platform
  • Use outputs for unlawful purposes

12. Data & Privacy

Your use is subject to our Privacy Policy.

We may process data for:

  • Service delivery
  • Fraud prevention
  • Platform improvement

13. Third-Party Services

We are not responsible for third-party tools or integrations.

14. Intellectual Property

All Platform content and technology are owned by the Company.

15. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

16. Limitation of Liability

Our liability is limited to the amount paid by you in the prior 12 months. We are not liable for indirect or consequential damages.

17. Indemnification; Defense; Hold Harmless

You agree to indemnify, defend, and hold harmless m3, its parent company, affiliates, officers, directors, employees, contractors, agents, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Platform
  • Your User Content
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement or misappropriation of any third-party rights, including intellectual property or privacy rights
  • Any reliance on or use of AI-generated outputs

m3 reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with such defense. You may not settle any claim without the prior written consent of m3, which shall not be unreasonably withheld.

18. Termination

We may terminate access at any time, at our discretion, with or without cause.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

However, to the extent that applicable law in the jurisdiction where the Platform is accessed or used by the customer requires that certain disputes be governed by the laws of that jurisdiction, such laws shall apply solely to the extent required and no further.

Except where otherwise prohibited by applicable law, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located within the State of Michigan, and you consent to the personal jurisdiction and venue of such courts.

20. Arbitration & Class Action Waiver

All disputes shall be resolved via binding arbitration through the American Arbitration Association (AAA) in Michigan.

You waive:

  • Jury trial rights
  • Class action participation

21. Marketing Disclaimer

We do not guarantee results, including:

  • Leads
  • Revenue
  • Enrollment

22. Export Compliance

You agree to comply with all U.S. export laws.

23. DMCA Policy

24. Beta Features

Beta features are:

  • Provided "as is"
  • Subject to change or removal

25. Changes to Terms

We may update these Terms at any time.

The following service tiers may be offered, and are subject to change. Specific deliverables may vary and are subject to change.

  • Self-managed services
  • Limited support

Gold (Done-With-You)

Includes Silver, plus:

  • Marketing automation setup
  • Advertising support
  • Quarterly strategy calls

Platinum (Done-For-You)

Includes Gold, plus:

  • Full campaign management
  • Advanced automation
  • Monthly strategy calls

Diamond

Includes Platinum, plus:

  • High-level strategic consulting
  • Priority service and access
  • Limited availability

Add-Ons

Additional services may include:

  • 1:1 consulting
  • Additional campaigns
  • Creative production
  • Priority support

All add-ons are subject to separate fees.
